Allan A. Brooks, III

Allan A. Brooks, III, joined the firm in 1985, and since that time has participated in thousands of public financing transactions of every type and manner. Mr. Brooks primarily serves as bond counsel to governmental clients across the state of Oklahoma. He is the state’s leading expert in water and wastewater infrastructure development projects and has assisted with the development of many unique financing structures to meet the needs of communities of all sizes, including through the issuance of GO Bonds, Revenue Bonds and Notes, the CWSRF/DWSRF programs, and rural development financing programs. Though much of his practice centers on water and wastewater infrastructure finance, Mr. Brooks is also sought for his expertise in matters pertaining to healthcare, community facility, and governmental facility finance matters.

Mr. Brooks was born in Oklahoma City, Oklahoma and attended Oklahoma State University where he graduated with a BS in Economics in 1982 and where he was named one of the Top Ten Freshmen Men and a Top Ten Graduate of the College of Business. Mr. Brooks attended law school at the University of Oklahoma where he graduated in 1985. Mr. Brooks was the recipient of the Leon J. York, Jr. Scholarship while at OU Law School and served as Research Assistant to the Dean.  He was also a member of Phi Delta Phi. He was admitted to the Oklahoma Bar in 1985. Mr. Brooks is a frequent lecturer for various governmental organizations including the Oklahoma Municipal League, the Government Finance Officers Association of Oklahoma, and the Oklahoma Municipal Clerks, Treasurers & Finance Officials Association. Mr. Brooks has been selected by his peers as one of The Best Lawyers in America in the specialty of Public Finance Law. Mr. Brooks has an AV Peer Review Rating from Martindale-Hubbell and is a member of the Oklahoma Bar Association and the National Association of Bond Lawyers.  Mr. Brooks currently serves as Manager of the Firm.

Mr. Brooks has been married to Sandra Brooks since 1985 and has three daughters. He actively attends Crossings Community Church where he currently serves on the Board of Elders, Finance Committee and School Board for Crossings Christian School. Mr. Brooks was also a long time member and past President of the Board of Trustees of Heritage Hall School.

Nathan D. Ellis

Nathan D. Ellis has been with the firm since 2004.  Mr. Ellis devotes a substantial amount of his practice serving as bond counsel to a variety of issuers on all matters pertaining to public finance, including infrastructure, healthcare and economic development. Mr. Ellis also specializes in the formation and creation of tax increment financing (TIF) districts, and any necessary financings, and the negotiation of economic development and tax incentive agreements. His TIF practice ranges from projects for industrial, manufacturing, housing and retail developments, including the largest industrial TIF created in the state. Mr. Ellis also frequently serves as purchaser’s counsel to financial institutions pertaining to municipal debt obligations.

Mr. Ellis was born in Grand Rapids, Michigan and attended the University of Oklahoma, graduating with a Bachelor of Science in Environmental Science with a Minor in Chemistry in May 1996, Master of Business Administration in December 1999, and Juris Doctor in December 1999.  Mr. Ellis was admitted to the Oklahoma Bar in 2000.  Mr. Ellis served as Staff Attorney and Assistant Division Chief for the Financial Assistance Division of the Oklahoma Water Resources Board from 2000-2004, where he oversaw the implementation of the cross-collateralization of the OWRB’s state revolving fund loan programs (CWSRF and DWSRF).  Mr. Ellis is a frequent lecturer for various governmental organizations including the Oklahoma Municipal League, the Government Finance Officers Association of Oklahoma, the Oklahoma Municipal Clerks, the Treasurers & Finance Officials Association, the Oklahoma Rural Water Association, the Council of Infrastructure Finance Authority, and EPA Regional Workshops.  He is a member of the Oklahoma Bar Association, the American Bar Association, and the National Association of Bond Lawyers.  Mr. Ellis was named a Super Lawyers Rising Star in 2012. Mr. Ellis is married to Shelly Ellis and has four children.  He is actively involved in Journey Church in Norman.

Meredith B. Morgan

Meredith B. Morgan, joined the firm in 2009 and devotes her practice to serving as bond counsel to governmental issuers in Oklahoma and Arkansas. Ms. Morgan often coordinates the firm’s tax due diligence efforts on public finance matters and has developed a specialty in the area of contract review for compliance with private activity implications pertaining to governmental issuers.

Ms. Morgan was born in Hope, Arkansas and is a 2006 cum laude graduate of Ouachita Baptist University, where she obtained a Bachelor of Arts degree in Political Science and Mass Communications.  She was named an Arkansas Governor’s Scholar, a Harry S. Truman Scholar Nominee, and was a member of the Phi Gamma Mu Social Sciences Honor Society.  Ms. Morgan obtained her law degree from the University of Arkansas School of Law, graduating magna cum laude in 2009.  While in law school, she was a member of the Dean’s List and a member and Note and Comment Editor of the Arkansas Law Review.  Her article, entitled “Arkansas’s Response to Granholm v. Heald: The Small Farm Winery Law Provides an Appropriate Remedy for Commerce Clause Violation,” was published in the Arkansas Law Review in 2009. Ms. Morgan was the recipient of the Thomas F. Butt Legal Excellence in Legal Research and Writing Award and served as judicial extern for the Honorable Gary Carson, Arkansas Fourth Circuit Judge. She was admitted to the Oklahoma Bar in 2009 and the Arkansas Bar in 2010.  She is a member of the Oklahoma and Arkansas Bar Associations and the National Association of Bond Lawyers.  Ms. Morgan has been an associate with The Public Finance Law Group PLLC since 2009. Ms. Morgan is married to Nathan Morgan and has three children.

Jered T. Davidson

Jered T. Davidson joined the firm in 2012 and his practice spans all areas of governmental and public finance. He devotes most of his practice to serving as bond counsel to state and local governmental issuers. Mr. Davidson’s clients rely on his expertise in providing legal advice regarding the structuring of governmental bond issues and other debt issuance to effectively and efficiently finance a variety of projects ranging from utility infrastructure, single family and multifamily housing developments, hospital and healthcare facilities, educational facilities (K-12 and college and university financings), and retail and economic development projects. Mr. Davidson also represents governmental agencies and authorities seeking validation of bond issuances and programs through original action proceedings before the Oklahoma Supreme Court. Mr. Davidson also regularly serves as tax increment finance (TIF) counsel to governmental entities and as counsel to corporate trust departments and financial institutions in the municipal bond market.

Mr. Davidson was born in Chickasha, Oklahoma, and is a 2009 summa cum laude graduate of Oklahoma State University, where he obtained a Bachelor of Science degree in Agricultural Economics with an emphasis in Community and Regional Development. While at Oklahoma State, he was named a Top Ten Freshman Man, Harry S. Truman Scholar National Finalist, Henry Clay Center for Statesmanship Scholar, USA Today All-College Academic Team Member, OSU Alumni Association Outstanding Senior and the 2009 Paul and Mary Hummer Outstanding Graduate of the College of Agricultural Sciences and Natural Resources. Mr. Davidson obtained his law degree from the University of Oklahoma College of Law, graduating with distinction in 2012. While in law school, he was a member of the Dean’s List, Phi Delta Phi, ABA National Moot Court Appellate Advocacy Team, Board of Advocates, and served as a Research Editor for the American Indian Law Review. His is the author of multiple articles including, “This Land is Your Land, This Land is My Land? Why the Cobell Settlement Will Not Solve Indian Land Fractionation,” published in the American Indian Law Review in 2011, and “Sweet Dreams: Revenue Opportunities and Collection Challenges for Municipal Lodging Taxes in Oklahoma, 86 Okla. Bar J. 579, in 2015. Mr. Davidson was named to the National Order of Barristers for his advocacy work. He was admitted to the Oklahoma Bar in 2012. He is a member of the American and Oklahoma Bar Associations and the National Association of Bond Lawyers. Mr. Davidson has been an associate with The Public Finance Law Group PLLC since 2012. Mr. Davidson is married to Lindsey Davidson.
